National Lampoon Fantasy Football Fraternity 2007

By joining the National Lampoon Fantasy Football Fraternity ("NLFFF") and participating in this contest, you agree to be bound by the following rules and conditions:


TO ENTER
To enter the Contest, you must first join the NLFFF by completing the registration form online by 1:00 PM ET on September 4, 2007. Each entrant is required to pay a $250 NLFFF membership fee. Entrants ("Team managers" or "Managers") will be asked to create a user ID and password, which they will use for future login to their team page, and to provide an email address and a valid credit card number for payment of the membership fee.

Membership in the NLFFF entitles entrant to a FREE, one-year membership to mrskin.com (a $360 value). A user ID and password for mrskin.com will be sent to the entrant's email address supplied in entrant's registration. Measures will be taken to ensure that each team competes in a complete 10 team division.

ELIGIBILITY
To participate in this contest:
Managers must be registered NLFFF members in good standing and be a legal resident of the United States and have reached the age of majority in his state of residence (18, except in Nebraska (19), Alabama (19) and Mississippi (21).

Employees of M.E., Inc. or STATS, LLC., their parents, affiliates, subsidiaries, agents, advertising and promotion agencies, and their immediate families, or persons residing in their households are not eligible to participate. Void in Arizona, Iowa, Louisiana, Maryland and Vermont and where prohibited by law.

DIVISIONS
When a team is created, as defined below, it will be placed in a Division consisting of no more than ten (10) teams. A Manager can create a custom division and invite up to nine (9) teams to join the NLFFF and compete in the same division. If at the time divisions are determined by the NLFFF that division has less than ten (10) teams, the remaining teams will be randomly assigned. Division assignments will be made by NLFFF shortly before the start of the NFL season.

HOW TO PLAY
Each Manager must select a team roster of twenty one (21) players by September 4, 2007, 1:00 PM EST. NFL players are assigned to specific groups based upon their initial perceived 2007 Fantasy Value - Group A, Group B and Group C. STATS, LLC will rate and group the fantasy players as follows: The top fantasy players will be assigned to Group A, the next tier will be assigned to Group B and the remaining eligible NFL players will be assigned to Group C. Player groupings are final and will not change during the season.

NLFFF team rosters are not unique and teams may have the same players as another team in their Division at the same time. Unlimited changes to the original twenty one (21) man roster may be made at any time up to five (5) minutes prior to the scheduled kickoff of the first game of Week One of the NFL season. Once the first official game of the NFL season has started, rosters will lock and free agent limits begin. At that time, each Manager will be allowed a total of seventeen (17) free agent transactions for the season (up to one per week), and will not be able to initiate same until the following Tuesday morning. Managers are not allowed to accumulate free agent transactions. Free agent transactions open every Tuesday at 3pm ET and lock again at the scheduled start of the first NFL game of the week.

ROSTERS
Managers will select / draft players selected from each group. Rosters must consist of one (1) QB, two (2) RB, two (2) WR, one (1) TE and one (1) K from each group. Although player groupings are final and will not change during the season, new players may be added to groups at any point during the course of the contest by NLFFF.

Of the twenty-one (21) players drafted, Managers will be required to submit a starting lineup of seven (7) active players each week. Teams may start fewer than the seven (7) players allowed; however, no team may start more than seven (7) players in any given week. But to compete for weekly prizes, a team must have a complete, seven (7) man team playing that week. The starting lineup must consist of:

One (1) QB
Two (2) RB
Two (2) WR
One (1) TE
One (1) K

In addition, regardless of position, each NLFFF team must start two (2) players from Group A, a minimum of two (2) players from Group B, and a minimum of two (2) players from Group C. The final remaining player position can be selected only from Group B or Group C.

STARTING LINEUP DEADLINE
Each week, players may be moved in or out of the starting lineup up to the scheduled game time of that player's first game of the week. After kickoff of the first scheduled game for a player, that player's status in your lineup cannot be edited again until the following Tuesday at 3pm ET.

SCORING
Each week, the seven (7) active players on each Manager's side will accumulate points based on their performance in real NFL games. The total points the players earn each week are added together to create an overall score.

The scoring system is described below:

Passing
TD = 30 points
Every passing yard = 1 point
2 point conversion = 20 points
Interception = (-20) points

Rushing/Receiving TD = 60 points
Every rushing / receiving yard = 1 point
2 point conversion = 20 points
Every reception = 10 points
Lost fumble = (-10) point

Kicking
FG <30 yards = 20 points
FG 30-39 yards = 30 points
FG 40-49 yards = 40 points
FG 50+ yards = 50 points
PAT = 10 point
Missed Kick (PAT or FG) = (-10) points

All statistics (as reported by STATS, LLC) are final as of Tuesday morning each contest week. Any statistics used to calculate team points in any given week that are subsequently corrected or changed after Tuesday morning by the NFL, will not affect the score of the fantasy team that week.

FREE AGENTS
Each Manager may make a maximum of one (1) free agent moves during each week of the fantasy season. Specifically, a free agent move is defined as the dropping a player from your twenty-one (21) man roster and replacing that player after the start of the season.

Free agents may be added at any time during the week up to the deadline of five (5) minutes prior to the start of the first game of the week and can be used for the upcoming weekend. Once the first game of the week has kicked off, no free agent moves are allowed until the following Tuesday. Free agent limits begin after the completion of week #1 of the NFL season.

Any time a free agent is added to a roster, a player must be released at the same time. Also, the new player selected must be from both the same group AND same position as the player being released.

PRIZES

Weekly Prizes:
There will be a total of seventeen (17) First (1st) Place High Point Weekly Winners, with one of each being awarded each week. Each week, the Manager whose team earns the most points will be considered the 1st place High Point Weekly Winner. Winners will be notified via email, within five (5) business days after the end of the applicable week.

Each 1st Place High Point Weekly Winner prize will consist of $250.

In order for a Manager to be eligible to win a weekly prize, his team must have a starting lineup of seven (7) players that are active and have a game to be played (i.e.: not on an NFL bye week) in the NFL that week.

End of Season Prizes:

There will be one (1) winner for each Division created. The division winner will be the Manager whose team accumulates the most total points over the seventeen (17) week NFL season among the ten (10) teams in its division.

Each Division Winner prize is $500. One (1) $500 prize per division is to be awarded. Winners will be notified via email, on or before January 15, 2008.

Grand Prize:
The Grand Prize consists of $100,000. There will be one (1) Grand Prize Winner, the Manager whose team accumulates the most total points over the 17-week NFL season among all teams entered in the NLFFF, regardless of division. The winner will be notified via email, on or before January 15, 2008.

UNDER NO CIRCUMSTANCES WILL ANY EXCHANGES OR SUBSTITUTIONS BE MADE FOR ANY PRIZE. THERE SHALL BE NO TRANSFER OF ANY PRIZE. TAXES ARE THE RESPONSIBILITY OF THE WINNERS.

TIEBREAKERS

WEEKLY TIEBREAKER
In the event of a tie between two (2) or more teams for the weekly prize, the Manager whose tied team has the highest bench score will be deemed the weekly winner. In the event of a tie with total bench score, the weekly tie will be broken as follows:
1) Manager whose team's quarterbacks have the highest total weekly score;
or, if tied,
2) Manager whose team's running backs have the highest total weekly score;
or, if tied,
3) Manager whose team's wide receivers have the highest total weekly score;
or, if tied,
4) Manager whose team's tight ends have the highest total weekly score;
or, if tied,
5) Manager whose team's kickers have the highest total score.

DIVISION TIEBREAKER
In the event of a tie between two (2) or more teams for the Division prize, the Manager whose tied team has the highest individual week score among all seventeen (17) weeks will be deemed the Division Winner. If a tie still exists after comparing the highest individual week score, the second highest individual week score (then 3rd highest, etc., in successive order) will be compared until the tie is broken. In the event a tie still exists after all seventeen (17) individual weekly scores have been compared, the tie between the remaining teams will be broken as follows:
1) Manager whose team's 17 weekly starting quarterbacks have the highest total season score;
or, if tied,
2) Manager whose team's 17 weekly running backs have the highest total season score;
or, if tied,
3) Manager whose team's 17 weekly wide receivers have the highest total season score;
or, if tied,
4) Manager whose team's 17 weekly tight ends have the highest total season score;
or, if tied,
5) Manager whose team's 17 weekly division kickers have the highest total season score.


HIGH SCORING TEAM END OF SEASON TIEBREAKER
In the event of a tie between two (2) or more teams for inclusion in the top 101 scoring teams, the Manager whose tied team has the highest individual week score among all seventeen (17) weeks will be declared the winner of the tiebreaker. If a tie still exists after comparing the highest individual week score, the second highest individual week score (then 3rd highest, etc., in successive order) will be compared until the tie is broken. In the event a tie still exists after all seventeen (17) individual weekly scores have been compared, the tie between the remaining teams will be broken as follows:
1) Manager whose team's 17 weekly starting quarterbacks have the highest total season score;
or, if tied,
2) Manager whose team's 17 weekly running backs have the highest total season score;
or, if tied,
3) Manager whose team's 17 weekly wide receivers have the highest total season score;
or, if tied,
4) Manager whose team's 17 weekly tight ends have the highest total season score;
or, if tied,
5) Manager whose team's 17 weekly division kickers have the highest total season score.


GRAND PRIZE TIEBREAKER
In the event of a tie between two (2) or more teams for the Grand Prize, the Managers whose tied team has the highest week score among all seventeen (17) weeks will be deemed the Grand Winner. If a tie still exists after comparing the highest individual week score, the second highest individual week score (then 3rd highest, etc., in successive order) will be compared until the tie is broken. In the event a tie still exists after all seventeen (17) individual weekly scores have been compared, the tie between the remaining teams will be broken as follows:
1) Manager whose team's 17 weekly starting quarterbacks have the highest total season score;
or, if tied,
2) Manager whose team's 17 weekly running backs have the highest total season score;
or, if tied,
3) Manager whose team's 17 weekly wide receivers have the highest total season score;
or, if tied,
4) Manager whose team's 17 weekly tight ends have the highest total season score;
or, if tied,
5) Manager whose team's 17 weekly division kickers have the highest total season score.


WINNERS' RESPONSIBILITIES
Winners will be responsible for all applicable federal and state taxes relating to the prizes and may be required to complete an Affidavit of Eligibility and Liability and Publicity Release (where legal) and return the Affidavit within five (5) business days of their winner notification, or an alternate winner will be selected. By participating in this contest, you agree that, in the event you win any prize, M.E., Inc. shall be permitted to use your name, likeness and prize information without limitation or further permission or compensation, unless prohibited by law. Prizes will only be awarded to NLFFF Managers who comply with the rules set forth herein. If any prize is returned as undeliverable when sent to the address provided at registration, the prize may be forfeited, in sponsor's discretion and awarded to another Manager.

BY ENTERING, MANAGERS RELEASE M.E., INC., ITS SPONSORS, SUBSIDIARIES, AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, REPRESENTATIVES, AGENTS, AND ADVISORS, FROM ANY AND ALL LIABILITY FOR ANY INJURIES, LOSSES, OR DAMAGES OF ANY KIND INCLUDING, BUT NOT LIMITED TO, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY CAUSED BY OR RELATING TO ANY PRIZE OR RESULTING FROM ACCEPTANCE OF ANY PRIZE OR PARTICIPATION IN THE CONTEST, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATION AND EXCLUSIONS MAY NOT APPLY TO ALL MANAGERS.

Neither M.E., Inc. nor STATS, LLC. are responsible for late, lost, damaged, postage due, or misdirected entries or for typographical errors in the printing of the offer, administration of the contest, in the announcement of the prizes or for failure of network servers, phone lines or other technical breakdowns of any kind whether human or mechanical. This contest is governed by and shall be construed under the laws of the State of Illinois, without regard to conflict of laws provisions thereof with venue for any claims in Cook County, Illinois. All federal, state and local laws apply and this contest is void where prohibited or restricted by such laws, including, without limitation, in Arizona, Iowa, Louisiana, Maryland, Montana and Vermont. If any provision of these rules is held to be illegal or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary so that these rules shall otherwise remain in full force and effect and enforceable to the fullest extent permitted by applicable law. M.E., Inc. reserves the right, in its sole discretion, to disqualify any individual found acting contrary to these official rules or using any methods to gain an unfair advantage. If M.E., Inc. determines, in its sole discretion, that the contest is compromised by virus, bug, robot entries, or other corruption of the administration, security, or proper play of this contest, then M.E., Inc. may cancel the contest in its sole discretion, and membership fees will be refunded, minus the pro-rated value of any prizes already awarded. In the event of a winner's non-compliance with any of these rules, the prize may be forfeited and awarded to an alternate winner. By entering Managers agree to abide by and be bound by all of M.E., Inc.'s decisions relating to this contest, which are final and binding in all respects, including but not limited to M,E,, Inc's determination of the winner.
